Terms of Use

These Terms of Use (“Terms”) govern your access to and use of theunderlyingintent.comand the related programs, podcast, newsletter, and communications (together, the “Services”) operated by XL Ventures Inc, a Delaware corporation doing business as The Underlying Intent(“TUI,” “we,” “us,” or “our”). By using the Services, you agree to these Terms. If you do not agree, please do not use the Services.

1. Eligibility

The Services are intended for business professionals. You must be at least 16 years old to use them, and if you use the Services on behalf of an organization, you represent that you are authorized to accept these Terms for that organization.

2. The Services

TUI publishes editorial content and operates programs including executive roundtables, a podcast, the Clarity Brief newsletter, and sponsorship opportunities. Content on the Site is provided for general information about business and leadership in the AI era. Program availability, dates, and details may change, and participation in any program is at our discretion.

3. Inquiries and Submissions

When you submit a form or otherwise contact us, you agree to provide accurate and complete information. Submitting an inquiry does not guarantee an invitation, a guest appearance, a sponsorship, or any other outcome. Do not send us confidential or proprietary information you do not wish to disclose; except for personal information governed by our Privacy Policy, we treat unsolicited submissions as non-confidential.

4. Guest and User Content

If you provide content to us — such as a biography, a nomination, a message, or, as a podcast guest, your participation in a recorded conversation — you grant TUI a non-exclusive, worldwide, royalty-free license to use, reproduce, edit, publish, and distribute that content in connection with operating and promoting the Services. You represent that you have the rights to grant this license and that your content does not infringe the rights of others. Podcast guests confirm recording and publication consent separately as part of the guest process.

5. Intellectual Property

The Services and their content — including text, graphics, logos, the TUI brand and wordmarks, and the design of the Site — are owned by XL Ventures Inc or its licensors and are protected by intellectual-property laws. We grant you a limited, personal, non-transferable license to access and use the Services for their intended purpose. You may not copy, republish, or create derivative works from our content without our prior written permission, except for normal personal or internal business reference.

6. Acceptable Use

You agree not to:

  • use the Services in violation of any law or these Terms;
  • submit false information or impersonate any person or organization;
  • interfere with, disrupt, or attempt to gain unauthorized access to the Services or their systems;
  • scrape, harvest, or collect information about others, or use the Services to send spam or unsolicited messages;
  • upload malicious code or otherwise misuse the Services.

7. Third-Party Links and Services

The Services may link to or rely on third-party websites and platforms. We do not control and are not responsible for their content, policies, or practices, and your use of them is at your own risk and subject to their terms.

8. Disclaimers

The Services and all content are provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Our content is for general informational purposes only and is not legal, financial, investment, or other professional advice; you should not rely on it as a substitute for advice from a qualified professional. We do not warrant that the Services will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the fullest extent permitted by law, XL Ventures Inc and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from or related to your use of the Services. Our total liability for any claim relating to the Services will not exceed USD $100. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless XL Ventures Inc from any claims, damages, and expenses (including reasonable legal fees) arising out of your use of the Services, your content, or your violation of these Terms or the rights of others.

11. Communications

If you subscribe to the Clarity Brief or other updates, you consent to receive those emails from us. Every marketing email includes a one-click unsubscribe link, and you can opt out at any time. We may still send you non-promotional messages related to a program you have registered for.

12. Privacy

Our Privacy Policy explains how we handle personal information and is incorporated into these Terms by reference.

13. Changes to the Services and Terms

We may modify or discontinue the Services, and we may update these Terms from time to time. When we make material changes, we will revise the “Effective” date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising from these Terms or the Services, and you consent to venue there, except where applicable law gives you the right to bring a claim in your home jurisdiction.
